  • Client: Any individual or entity that engages with Purplematics for the purpose of utilizing our Services.
  • Deliverables: The tangible or intangible products or outcomes that result from our Services, provided to the Client as agreed upon in a separate agreement or contract.
  • Confidential Information: Any non-public information disclosed by either party to the other, either directly or indirectly, in writing, orally, or by inspection of tangible objects, which is designated as "Confidential," "Proprietary," or some similar designation.
3. Services

Purplematics specializes in product and app development, offering product consulting and concept development services. The scope, timeline, and fees for our Services will be outlined in a separate agreement or contract with each Client.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for the execution of our Services.
  • Respond promptly to any requests for approvals, feedback, or information.
  • Ensure that any materials provided to Purplematics do not infringe on the intellectual property rights of third parties.
5. Fees and Payment

We do not share your personal data with third parties except in the following circumstances:

  • Fees for our Services will be detailed in a separate agreement or contract.
  • Payments are due as specified in the agreement or invoice. Late payments may incur interest charges as outlined in the agreement.
6. Intellectual Property

Depending on your location, you may have the following rights regarding your personal data:

  • Ownership: Unless otherwise agreed upon, all intellectual property rights for materials developed by Purplematics during the provision of Services shall remain the property of Purplematics until full payment is received.
  • License: Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the Deliverables for the purposes agreed upon in the separate agreement or contract.
7. Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information received from the other party. Confidential Information shall not be disclosed to any third party without the prior written consent of the disclosing party, except as required by law.

7. Limitation of Liability

To the fullest extent permitted by law, Purplematics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

  • Your use or inability to use our Services;
  • Any unauthorized access to or use of our servers and/or any personal information stored therein.
9. Termination

Either party may terminate the agreement for Services upon written notice if the other party breaches any material term of the agreement and fails to cure such breach within a specified period.

10. Governing Law

These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Purplematics is established, without regard to its conflict of law provisions.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. It is your responsibility to review these Terms periodically. Your continued use of or access to our Website or Services following the posting of any changes to these Terms constitutes acceptance of those changes.
